    Terms and Conditions

    1. Acceptance of Terms

    By accessing or using Remi, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, you may not use our services. These terms apply to all users of the platform, including founders, contractors, and administrators.

    2. Description of Service

    Remi is a contractor payment management platform that enables businesses to manage contractor relationships, create pay runs, and process payments. We facilitate the payment process but are not a bank or financial institution. Actual payment transfers are processed by our third-party payment partners.

    3. Agent-of-Payee Appointment

    By accepting these Terms and maintaining an active Remi payout profile, you appoint Remi as your limited agent for the sole purpose of receiving payments owed to you by your clients through the Remi platform (each, a "Client Payment").

    You authorize Remi to (a) receive Client Payments from clients that you have linked to your account, (b) hold such funds on your behalf pending remittance, and (c) remit those funds to the payout method and account you have selected in your profile, net of any processing fees disclosed to you.

    You and Remi agree that receipt of a Client Payment by Remi shall be deemed receipt by you, and shall discharge the client's obligation to pay you to the extent of the amount so received. A client that pays Remi in accordance with these Terms has no further obligation to you with respect to the amount paid, even if Remi fails to remit those funds.

    This appointment is limited to the receipt and remittance of Client Payments. Remi is not your general agent, has no authority to represent you for any other purpose, and does not take title to Client Payments for its own account. Remi holds Client Payments for your benefit until remitted or returned.

    You may revoke this appointment at any time by removing your payout method from your Remi profile or by sending written notice to legal@remipay.co. Revocation takes effect upon receipt by Remi and does not affect Client Payments already received by Remi prior to revocation, which Remi shall remit or return in accordance with this section.

    4. User Accounts

    You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate and complete information when creating an account. You agree to notify us immediately of any unauthorized use of your account.

    5. Payment Terms

    A processing fee of up to 2.5% (capped at $100 per pay run) is applied to each pay run. Fees are calculated at the time of pay run creation and are non-refundable once a pay run is initiated. Payment timelines depend on the payout method selected and are subject to the processing times of our payment partners.

    6. User Responsibilities

    Founders are responsible for ensuring the accuracy of contractor information, payment amounts, and compliance with applicable tax and employment laws in their jurisdiction. Contractors are responsible for providing accurate payment details and tax information. Remi does not provide tax, legal, or compliance advice.

    7. Intellectual Property

    All content, features, and functionality of Remi, including but not limited to text, graphics, logos, and software, are the property of Remi and are protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

    8. Limitation of Liability

    Remi shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service. Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim. We are not responsible for delays or failures in payment processing caused by third-party payment providers.

    9. Termination

    We may suspend or terminate your account at any time for violation of these terms or for any other reason at our discretion. You may terminate your account at any time by contacting us. Upon termination, your right to use the service ceases immediately, though certain provisions of these terms will survive termination.

    10. Modifications

    We reserve the right to modify these terms at any time. We will provide notice of material changes by updating the "Last updated" date. Your continued use of the service after changes constitutes acceptance of the modified terms.

    11. Governing Law

    These terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these terms or your use of the service shall be resolved through binding arbitration.
